By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

These Terms contain important provisions including an agreement to resolve disputes through arbitration on an individual basis rather than class actions or jury trials. Please read Section 11 (Dispute Resolution) carefully.
1. Acceptance of Terms
Agreement to Terms
By accessing and using CodeLint's website and services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use our services.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
Business Use
Our services are primarily intended for business and commercial use. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Services Provided
Service Offerings
CodeLint provides cloud infrastructure solutions, DevOps automation, AI/ML implementation, custom web and mobile development, e-commerce solutions, API development, UI/UX design, database management, security services, and strategic consulting as described on our website.
Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.
Service Availability
While we strive for 99.99% uptime, we do not guarantee uninterrupted access to our services. Scheduled maintenance, updates, and unforeseen circumstances may result in temporary service interruptions.
Custom Solutions
For custom development and consulting services, specific terms, deliverables, timelines, and pricing will be detailed in separate service agreements or statements of work that supplement these Terms of Service.
3. User Accounts and Responsibilities
Account Creation
To access certain services, you may need to create an account. You must provide accurate, current, and complete information during registration and keep your account information updated.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or security breach.
Prohibited Activities
You agree not to: (a) use our services for any illegal purpose or in violation of any laws; (b) attempt to gain unauthorized access to our systems; (c) interfere with or disrupt our services; (d) transmit viruses or malicious code; (e) violate any applicable laws or regulations; (f) infringe on intellectual property rights; or (g) engage in any activity that could harm CodeLint or its users.
Content Responsibility
You are solely responsible for any data, content, or materials you upload, transmit, or process through our services. You warrant that you have all necessary rights and permissions for such content.
4. Fees and Payment
Service Fees
Fees for our services are as quoted in proposals, service agreements, or as displayed on our website. All fees are in USD unless otherwise specified and are exclusive of applicable taxes.
Payment Terms
Payment terms will be specified in your service agreement. Generally, invoices are due within 30 days of issuance unless otherwise agreed. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law.
Refunds
Refund policies vary depending on the service. Custom development work and consulting services are generally non-refundable once work has commenced. Specific refund terms will be outlined in your service agreement.
Price Changes
We reserve the right to modify our pricing with 30 days' notice. Price changes will not affect existing contracted services during their term but will apply to renewals and new services.
5. Intellectual Property Rights
CodeLint Property
All content, features, functionality, software, code, designs, graphics, logos, and trademarks on our website and in our services are owned by CodeLint and are protected by international copyright, trademark, and other intellectual property laws.
License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your business purposes. This license does not include any right to resell or commercial use of our services or content.
Custom Development
For custom development projects, intellectual property rights will be clearly defined in the project agreement. Generally, you will own the final deliverables upon full payment, while CodeLint retains rights to pre-existing materials, tools, and methodologies.
Client Content
You retain ownership of any content, data, or materials you provide to us. By providing such content, you grant us a license to use, process, and store it solely for the purpose of delivering services to you.
6. Privacy and Data Protection
Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
Data Security
We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure. You acknowledge and accept the inherent security risks of internet-based services.
Data Processing
For services involving data processing, we act as a data processor on your behalf. We will process data only as instructed by you and in accordance with applicable data protection laws including GDPR where applicable.
Data Backup
While we maintain regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for any data loss except as specifically outlined in your service agreement.
7. Warranties and Disclaimers
Service Warranty
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific performance warranties will be detailed in your service agreement.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
No Guarantee of Results
While we strive for excellence, we do not guarantee specific results, outcomes, or business performance from using our services. Success depends on many factors, some of which are beyond our control.
Third-Party Services
Our services may integrate with or rely on third-party services. We are not responsible for the availability, performance, or content of third-party services and disclaim all warranties related to them.
8. Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODELINT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR $10,000, WHICHEVER IS GREATER.
Excluded Damages
IN NO EVENT SHALL CODELINT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Exceptions
Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.
Basis of Bargain
You acknowledge that these limitations of liability are a fundamental element of the basis of the bargain between you and CodeLint, and that our pricing reflects these limitations.
9. Confidentiality
Confidential Information
Both parties may have access to confidential information during the course of our relationship. Confidential information includes business plans, technical data, customer information, pricing, and any information marked as confidential.
Obligations
Each party agrees to: (a) keep confidential information strictly confidential; (b) use it only for the purpose of the business relationship; (c) not disclose it to third parties without prior written consent; and (d) protect it with the same degree of care used for their own confidential information.
Exceptions
Confidentiality obligations do not apply to information that: (a) is publicly available; (b) was known prior to disclosure; (c) is independently developed; or (d) must be disclosed by law.
Duration
Confidentiality obligations survive termination of these Terms and continue for a period of 5 years from the date of disclosure or as otherwise specified in a separate agreement.
10. Termination
Termination by You
You may terminate your account and stop using our services at any time. For ongoing service contracts, termination terms will be specified in your service agreement, typically requiring 30 days' written notice.
Termination by Us
We may terminate or suspend your access to our services immediately, without notice, if you breach these Terms, fail to pay fees when due, or engage in any conduct that we reasonably believe is harmful to us or other users.
Effect of Termination
Upon termination: (a) your right to use our services immediately ceases; (b) we may delete your account and data after a reasonable period; (c) you remain liable for all fees accrued prior to termination; and (d) provisions that by their nature should survive will continue to apply.
Data Retrieval
Upon termination, you have 30 days to retrieve your data. After this period, we may permanently delete your data. We are not obligated to store or return data after termination unless otherwise specified in your service agreement.
11. Indemnification
You agree to indemnify, defend, and hold harmless CodeLint, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of our Services
- Your violation of any rights of another party, including intellectual property rights
- Any content or data you provide to us
- Any breach of your representations and warranties
12. Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising from or relating to these Terms or our Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in Islamabad, Pakistan, in accordance with the Arbitration Act 1940.
Class Action Waiver
You agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and CodeLint regarding our Services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms at any time with notice to you.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date and, where appropriate, by email notification.
Your continued use of our Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using our Services.
